1. Acceptance of Terms

By accessing or using the BParked platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and organisations that access or use the Service.

2. Description of Service

BParked is a Software-as-a-Service (SaaS) platform that enables organisations to manage workplace parking spaces and desk reservations. The Service includes:

• Parking spot reservation and management
• Hot-desk booking and floor plan management
• User and team administration tools
• Automated reservation confirmation and reminders via email
• Mobile applications for iOS and Android
• Two-factor authentication and security features

3. Account Registration

To use BParked, an organisation administrator must register and create an organisational account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorised use of your account
• Be responsible for all activities that occur under your account

You must be at least 18 years old and have the authority to bind your organisation to these Terms.

4. Subscription Plans and Billing

BParked offers subscription-based plans. By subscribing to a paid plan, you agree to:

• Pay the applicable subscription fees as displayed at the time of purchase
• Provide valid payment information and keep it up to date
• Automatic renewal of your subscription at the end of each billing period unless cancelled

All fees are exclusive of applicable taxes. Taxes will be added where required by law.

Subscription changes (upgrades/downgrades) take effect at the start of the next billing cycle unless otherwise stated.

5. Free Trial

BParked may offer a free trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends. No charge is made during the trial period.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Transmit any harmful, offensive, or unlawful content
• Attempt to gain unauthorised access to any part of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated means to scrape or extract data from the Service
• Resell, sublicense, or redistribute the Service without written permission

7. Data and Privacy

Your use of BParked is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

You retain ownership of all data you submit to the Service. You grant BParked a limited licence to process your data solely to provide the Service.

8. Intellectual Property

The Service, including all software, design, text, graphics, logos, and other content, is owned by BParked and protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during your subscription term.

9. Service Availability

BParked strives to maintain high availability of the Service. However, we do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where possible. We are not liable for losses arising from downtime or service interruptions.

10. Termination

Either party may terminate the agreement at any time. Upon termination:

• Your access to the Service will be deactivated
• You may request an export of your data within 30 days of termination
• After 30 days, your data may be permanently deleted
• No refunds are issued for the current billing period unless the cancellation qualifies under our Refund Policy

BParked reserves the right to suspend or terminate accounts that violate these Terms.

11. Limitation of Liability

To the maximum extent permitted by law, BParked shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill.

BParked's total liability to you for any claim arising out of or relating to these Terms shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranty of any kind. BParked disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the European Union and applicable Belgian law. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Belgium.

14. Changes to Terms

BParked reserves the right to modify these Terms at any time. We will notify you of significant changes via email or a prominent notice within the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.
